1. Acceptance of Terms

By accessing or using the Nexus platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who subscribe through AWS Marketplace, AppSumo, or directly through our platform.

2. Description of Service

Nexus provides an AI-powered accounts payable automation platform that includes:

Document capture and OCR processing for invoices, purchase orders, and delivery notes
Three-way matching automation between invoices, POs, and goods receipts
Exception management and variance resolution workflows
Integration with accounting systems and ERPs via third-party connectors
Reporting and analytics dashboards
AI-assisted coding and approval routing

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring that your use complies with all applicable laws and regulations

4. Subscription and Payment

Billing: Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly set forth in these Terms.

Free Trial: We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

Price Changes: We reserve the right to modify pricing with 30 days notice. Price changes will apply to the next billing cycle following the notice period.

Marketplace Purchases: If you subscribe through AWS Marketplace or other third-party marketplaces, billing and refunds are governed by that marketplace's terms.

5. Data Ownership and Rights

Your Data: You retain all rights to the data you upload to the Service ("Customer Data"). We do not claim ownership of your Customer Data.

License Grant: You grant us a limited license to process your Customer Data solely to provide the Service. This includes using AI and machine learning to extract, categorize, and match your documents.

Aggregated Data: We may use anonymized, aggregated data that does not identify you or your organization to improve our services and for analytical purposes.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to process data you do not have the right to process
Resell or redistribute the Service without our written consent

7. Third-Party Integrations

The Service integrates with third-party applications (e.g., QuickBooks, Sage, NetSuite). Your use of these integrations is subject to the third party's terms of service.

We are not responsible for the availability, accuracy, or functionality of third-party services. Integration features may change based on third-party API availability.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice.

We are not liable for any downtime, data loss, or damages resulting from service interruptions, whether planned or unplanned.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Nexus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

By You: You may terminate your account at any time through your account settings or by contacting support. No refunds will be provided for the remaining subscription period.

By Us: We may suspend or terminate your account immediately if you violate these Terms or for any other reason with 30 days notice.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days, after which it will be permanently deleted unless required by law to retain it longer.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
